Terms of service

These Terms of Service govern the use of MexVend's website, its iOS and Android apps, the marketplace, the supplier search tools and related services (the "service"), operated by MexVend, Inc. By using the service or creating an account, you accept these Terms and our Privacy Policy. If you use the service on behalf of a company, you represent that you are authorized to bind that company.

MexVend is a B2B marketplace that connects buyers from any country with Mexican suppliers. It allows you to search for suppliers, send requests for quotation and communicate. Currently, registration, the TrustPass review and factory visits are free for buyers and suppliers.

MexVend is not a party to transactions between buyers and suppliers. It does not buy, sell, manufacture, ship or guarantee products.

Results, rankings, summaries and explanations generated by AI are for informational purposes only and must be independently verified before making purchasing, legal, financial, logistics, compliance or operational decisions.

You may register with your email address or with your Google account. You must be over 18 years of age and provide accurate information.

You are responsible for keeping your credentials confidential and for all activity on your account.

Some profiles are created with public information, as explained in the section Origin of supplier information in the Privacy Policy.

By activating a profile, you represent that you work for that company or represent it, and that you are authorized to manage it.

The supplier is responsible for ensuring that its information, products, prices, certifications and capabilities are accurate and up to date.

By uploading content such as photos, descriptions or catalogs, you represent that you hold the rights to it, and you grant us a non-exclusive, royalty-free, worldwide license to display, adapt and promote it within the service while it is published.

A supplier may ask us to delete its profile by writing to sophia@mexvend.com.

When a buyer sends a request for quotation, MexVend forwards it to the relevant suppliers and notifies them by email and, if they have agreed, by WhatsApp.

Suppliers are not required to respond. A quotation is not a binding offer unless the parties agree otherwise.

Price, quantity, quality, delivery, import and export requirements and any contract are agreed directly between buyer and supplier.

Currently MexVend does not process payments. Buyers and suppliers agree on and make payments directly between themselves, and MexVend is not responsible for any party's failure to perform. Each party is responsible for its own taxes, duties, invoicing and tax obligations.

TrustPass indicates how much MexVend has reviewed a supplier. It has three levels:

• Level 1, Factory visited: we visit the factory and review all of the company's documents.
• Level 2, Documents reviewed: we review the company's documents, such as its RFC (Mexican tax ID).
• Level 3, Listing: the profile is published, without review by MexVend.

TrustPass reflects a review at a given point in time. It does not guarantee the supplier's quality, capacity, solvency, legal compliance or future conduct. Buyers must conduct their own review before buying.

By creating an account or activating a profile, you agree to receive emails from MexVend about your account and your requests for quotation.

If you expressly agree, you will also receive these notices by WhatsApp. You may unsubscribe at any time by replying "BAJA".

Some MexVend messages may be drafted or sent by Sophia, our AI assistant.

If buyers and suppliers exchange WhatsApp, email or other details and continue outside MexVend, those communications and transactions are not covered by the service. MexVend is not responsible for what happens outside the platform.

Some features depend on third parties, such as Meta (WhatsApp), Google (sign-in) and our customs and logistics partner. Their use is subject to those third parties' terms, and MexVend is not responsible for the services they provide.

You may use MexVend for lawful commercial research of suppliers and for legitimate business operations. You are responsible for evaluating information, ratings, certifications, prices, availability, contracts, import and export requirements and compliance obligations.

You may not abuse the service or use it in a way that harms MexVend, other users, suppliers, the infrastructure or the integrity of the service.

• Do not submit illegal, harmful, deceptive, infringing or abusive content.
• Do not activate profiles of companies you do not represent, and do not publish false information about your company or its products.
• Do not attempt to circumvent usage limits, access controls, security measures or restrictions.
• Do not extract, copy, resell or bulk-extract supplier data unless MexVend expressly authorizes it.
• Do not reverse engineer, interfere with, overload or disrupt the service.
• Do not use the service to send spam, harass suppliers, impersonate others or collect contact information for abusive purposes.
• Do not submit secrets, regulated personal data or third parties' confidential information unless you have the right to do so.

Requests to the system are limited to prevent abuse, protect the reliability of the service, manage infrastructure costs and maintain fair access for users.

Supplier information may be incomplete, outdated or inaccurate, and may be based on public sites and other records. AI-generated results may contain errors or omissions.

You must verify all information directly with the supplier and with legal, commercial, tax, customs, logistics and compliance professionals before carrying out any transaction.

MexVend and its software, design, databases, models, rankings, pages and trademark are owned by MexVend or its licensors. Content uploaded by users remains theirs, subject to the license described in Supplier profiles.

MexVend uses some data published by others under open licenses. We acknowledge it here, as those licenses require.

Postal codes

Postal code data from GeoNames, licensed under the Creative Commons Attribution 4.0 International License (CC BY 4.0).

We use it only to suggest the state and city of a postal code when you indicate where your company is located or where a request is delivered. You always confirm what is saved.

We have modified it for this use: we kept Mexico and the United States, kept one row per postal code and city, and wrote Mexican states the way MexVend lists them.

GeoNames does not endorse MexVend or this use of its data.

The service is provided "as is" and as available. To the fullest extent permitted by law, MexVend disclaims warranties of merchantability, fitness for a particular purpose, accuracy, availability and non-infringement, and warranties arising from course of dealing or trade usage.

To the fullest extent permitted by law, MexVend will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue or data, business interruption, disputes with suppliers or buyers, breaches by other users, transactional losses or purchasing decisions arising from use of the service.

You agree to indemnify MexVend against third-party claims arising from your use of the service, the content you upload, your dealings with other users or your breach of these Terms.

We may suspend or close accounts, remove profiles or limit access when these Terms are breached, when there is a risk to other users, or when a legal obligation requires it. You may close your account at any time by writing to sophia@mexvend.com.

MexVend may update these Terms or change, suspend, limit or discontinue parts of the service at any time. If the change is material, we will notify you by email or within the service. Continued use after an update means you accept the revised Terms.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, unless applicable law requires otherwise.
